Overview

Jason’s practice focuses on corporate finance and securities law. He regularly advises domestic and foreign financial institutions, business development companies, private and public investment funds, investment managers, advisers and principals and high-net-worth individuals in a wide variety of transactions including senior and subordinated debt and equity financings, common and preferred stock and other equity investments, private placements, fund formations and syndicated financings and participations.

Jason also assists a spectrum of clients in connection with mergers and acquisitions, equity and debt restructurings and workouts and complex corporate governance matters. His practice and experience covers more than 750 transactions and fund formations, and has involved clients with at-risk capital ranging from $10 MM to in excess of $40 B.

Jason also works with domestic and non-U.S. family offices and businesses to access and facilitate transactions and investments of all kinds with mainstream lenders, private credit funds, real estate sponsors and equity developers and many other institutional and non-institutional sponsors and capital providers. This has included his work both as a principal of two registered investment advisers, and also as a representative of dozens of stakeholders, investors, municipalities and sponsors involved in the U.S. EB-5 Program and other alternative investment strategies that interface with governmental and quasi-governmental agencies or regulators. His work across multiple geographies and asset classes has remained intentionally tethered to his core competencies and goals as a practitioner and principal who seeks to achieve positive outcomes for his clients. Jason has developed a reputation for the honest and accurate assessment of client mandates, having developed capabilities and nurturing his experience with respect to the diversity of legal, business and marketing needs associated with many of his clients’ goals and pursuits.

In addition to his regular practice and business activities, Jason has for many years been actively involved in the structuring of various social-impact investment vehicles, programs and singular investments, tailoring otherwise mainstream structures to provide positive economic returns for those also seeking to drive quantifiable social returns. As a central part of his community service he works regularly on a pro bono basis to educate members of the investment community on the merits of investing in underserved and emerging markets, and seeks to facilitate the deployment of capital to fundamentally sound, but capital starved, businesses and entrepreneurs.
